Acceptance of these terms
These Terms of Service govern your access to and use of our website and our transportation management platform (the “platform”), together with any quotes, documents, or communications you submit through them (the “service”). By using the service, you agree to these terms and to our Privacy Policy. If you do not agree, please do not use the service.
Service description & scope
MC Global Freight Solutions LLC operates a transportation management platform for freight brokerage operations, used by brokers, carriers, and shippers to quote, book, and coordinate freight, manage carrier compliance, generate rate confirmations, and store load documents. We are a broker — we arrange transportation between shippers and independent motor carriers, and we do not own trucks or transport freight ourselves. These terms cover both the platform and our public website.
Pilot status & Phase 1 limitations
The platform is currently offered as a controlled Phase 1 pilot. Features may change, and availability is not guaranteed. Importantly, in this phase the platform does not move money, does not provide legally binding electronic signatures, and does not send SMS or perform live shipment tracking. Rate confirmations, signatures, and similar records created within the platform are operational records only — actual settlement, payment, and any legally binding agreements occur outside the platform between the parties involved.
Eligibility & accounts
Access to the platform is granted to invited organizations and their authorized users. You are responsible for the accuracy of your account information, for keeping your login credentials secure, and for all activity under your account. Accounts are organized by organization and role; you agree to use only the access assigned to you and to notify us of any unauthorized use.
Acceptable use
You agree to use the service only for lawful business purposes. You will not:
- access, scrape, or attempt to access data belonging to other organizations or tenants;
- misuse carrier compliance data, or use it for any purpose other than legitimate freight operations;
- submit false, misleading, or fraudulent information;
- interfere with the security, integrity, or isolation of the platform; or
- copy or reuse our website content, branding, or materials without permission.
Your content & uploaded documents
You and your organization retain ownership of the load documents and information you upload (such as bills of lading, proof of delivery, and receipts). You grant us a limited license to store, process, and display that content as needed to provide the service. You are responsible for the accuracy and legality of what you upload and for having the right to share it. Individual document uploads are subject to a 4 MB size limit.
Carrier compliance data disclaimer
Carrier authority, safety, and insurance data is retrieved from third-party and public sources, including the FMCSA, and is provided “as is.” This information may be incomplete, delayed, or out of date. You should not rely on it as the sole basis for compliance, booking, or safety decisions, and you remain responsible for your own carrier vetting and due diligence.
Quotes, pricing & commercial terms
Rates and quotes provided through the service are operational estimates based on the information you give us and current market conditions. They are not binding contracts and are subject to the actual agreements between the parties to a shipment. The platform is not a party to those agreements. A shipment is only booked once terms are confirmed in writing between the parties.
Booking & shipment responsibilities
You are responsible for providing accurate freight details — including commodity, weight, dimensions, pickup and delivery information, and any special handling or hazardous-materials requirements — and for ensuring freight is properly prepared, packaged, and legal to transport. When a load is booked, the specific rate confirmation or shipment agreement for that shipment governs that transaction, along with these terms.
Capacity & delivery times
We work to source qualified carriers and coordinate timely pickup and delivery, but we do not guarantee carrier availability, transit times, appointment windows, or on-time performance. Delivery estimates are not guarantees, and delays can occur due to weather, traffic, port and terminal conditions, carrier issues, and other events outside our control.
Warranties & limitation of liability
The service is provided “as is” and “as available,” without warranties of any kind, which is appropriate for a controlled pilot. To the fullest extent permitted by law, MC Global Freight Solutions LLC is not liable for loss, damage, or delay to freight caused by carriers or other third parties; cargo claims are generally the responsibility of the carrier that transported the freight. Our total liability arising out of or relating to the service will not exceed the brokerage fee we earned on the applicable shipment, and we are not liable for indirect, incidental, special, or consequential damages. Nothing in these terms limits liability that cannot be limited under applicable law.
Indemnification
You agree to indemnify and hold harmless MC Global Freight Solutions LLC and its team from claims, losses, and expenses arising out of inaccurate information you provide, freight that is improperly prepared or illegal to transport, your misuse of the service, or your breach of these terms, except to the extent caused by our own gross negligence or willful misconduct.
Termination
We may suspend or terminate access to the service at any time, including if you violate these terms, misuse the service, or where necessary to protect the platform or other users. You may stop using the service at any time. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will continue to apply.
Third-party links & services
The service may reference or link to third-party carriers, partners, data sources, or services. We are not responsible for the content, practices, or performance of third parties, and their services are governed by their own terms and policies.
Governing law
These terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. Any dispute relating to these terms or the service will be handled in the state or federal courts located in New Jersey, unless a signed shipment agreement specifies otherwise.
Changes to these terms
We may update these terms from time to time, including as the platform evolves beyond the Phase 1 pilot. When we do, we will revise the “last updated” date shown above. Your continued use of the service after an update means you accept the revised terms.
